Terms and conditions TVM System Service

1. Parties

2. Customer commitment

  1. Under no circumstances may the installed system be moved from the originally agreed location without TVM’s written approval.
  2. In the event of sale or bankruptcy of the customer, all hardware must be returned to TVM.
  3. Under no circumstances may the system settings be changed, supplemented or replaced by the customer. In the event of any malfunction in the system, the Customer must notify TVM. This must be done within 24 hours of the malfunction being noticed
  4. TVM screens are operated with the TVM Play system. It is forbidden to connect any external devices to the TVM screens and Media players.
  5. The TVM system must always be active during the Customer's official opening hours unless otherwise agreed between the parties.
  6. In the event of any malfunction in the system, the Customer must notify TVM. This must be done within 24 hours of the malfunction being noticed
  7. TVM screens, media players and any other installed hardware & software are solely owned by TVM unless an alternative contract has been reached between the two parties.
  8. TVM reserves the right to control up to 20% percent of the total screen time and the right to branding of the mandatory sports feed.
  9. The customer has no right to conduct commercial sales of any third-party advertisers on the TVM Platform.

3. Customer commitment

This contract shall take effect from the day the Product has been delivered. The contract period is 24 months and is automatically extended for 12 months if the customer has not left written notice during the period.

4. Test period

From the date that the Product has been delivered, the customer is entitled to a 60 day test period during which they have the opportunity to terminate this contract by written notice free of charge.

5. Termination or contract Expiration of contract

  1. Customer may terminate this agreement with 3 months written notice, however no earlier than 3 months prior to the end of contract period as per section 3.1 in this agreement.
  2. TVM has the right to terminate this contract should the customer be in breach of their commitment as per section 2 in this agreement.
  3. In event of a breach as per section 5.1 in this agreement. the Customer shall pay TVM the sum of $400 for each Screen to be removed, as a contribution towards removal costs and in recognition of the depreciation in value of the Screens.
  4. In the event of the non-return of TVM hardware upon termination or contract expiration, the customer will be liable for $1000 per TVM screen.

6. Transfer of contract

The Customer can not transfer the rights or obligations under this contract without first obtaining TVM’s written approval.
